A Large Retail Player in the Middle East
is looking out for Group Legal Manager to be based at Dubai.
The ideal incumbent should be in the range of 35-40 yrs and have minimum 7-10 years of relevant experience in UAE, preferably in Retail / Real Estate.
The position would report to the CEO and would be responsible for driving all the Legal activities for the Group as Functional Head advising the CEO and executives of the group regarding corporate and commercial matters.
- He would advice on terms of major contracts, related to retail industry, commercial lease agreements, merger and acquisitions, sale and purchase agreement, service agreements, joint venture agreements etc. to the interest of the Stake holders and to limit its exposure to risk and liability.
- Recommend appropriate out legal counsel / legal firms to represent the group companies in the legal actions filed or defended by the group.
- Serve impending legal notices, prepare summary of the cases and pleadings and coordinate with the lawyer to ensure that the legal interest of the group companies are protected.
- Draft up all corporate documents of the company for its formation, share transfer and acquisition of assets for the company.
- Advice all the divisions and departments of the group in their legal matters. Ensure proper documentation of supporting data and evidence to build a case.
- In the event of a crisis, as part of crisis management, vet and provide advice on outgoing communications and ensure all risks are hedged.
- Ensure that the Trade licenses, certificate of incorporation and lease agreements of the group companies are renewed before its expiry date.
- Ensure correct and proper payment obligations to the landlords under its lease agreements and tenancy contracts.
